1. General provisions

1.1 Definitions and interpretation

For the purposes of these Terms of Service (“Terms”), the following definitions apply. Capitalized terms used but not otherwise defined in these Terms shall have the meanings set out below. These definitions are intended to ensure clarity and consistency of interpretation and shall apply equally to singular and plural forms, as well as to any grammatical variations.

“Verid”, “we”, “us”, or “our” means the operator of the Verid platform, a software-as-a-service (SaaS) product that provides automated analysis of publicly accessible e-commerce web pages.

“Platform” means the Verid web application, including any associated subdomains (including but not limited to app.verid.*), interfaces, dashboards, APIs, systems, infrastructure, and related services through which the Services are made available.

“User”, “you”, or “your” means any individual or legal entity that accesses or uses the Platform, creates an account, submits URLs for analysis, purchases credits or subscriptions, or otherwise interacts with the Services.

“Account” means a registered user account on the Platform that enables access to the Services and associated features.

“Services” means all functionalities provided by Verid, including but not limited to the submission and processing of URLs, automated extraction and analysis of publicly accessible web content, generation of reports, scoring mechanisms, and any related features made available through the Platform.

“Analysis” means the automated process performed by the Platform on a submitted URL, which may include retrieval of publicly accessible web content, structured data extraction, screenshot generation, and evaluation using algorithmic and/or AI-assisted systems.

“Report” means the output generated by the Platform as a result of an Analysis, which may include scores, qualitative assessments, identified issues, recommendations, or other insights derived from automated processing.

“User Input” means any data, content, or information submitted by the User to the Platform, including but not limited to URLs, parameters, or any other inputs required to initiate an Analysis.

“Public Web Content” means any content that is publicly accessible on the internet without authentication or access restrictions at the time of retrieval, including but not limited to HTML, images, text, metadata, and page structure.

“Credits” means usage units that entitle the User to perform a defined number of Analyses on the Platform. Credits may be allocated through subscription plans or purchased separately.

“Subscription” means a recurring paid plan that provides the User with access to the Services, typically including a periodic allocation of Credits and/or additional features, billed on a recurring basis.

“Third-Party Services” means any external services, infrastructure, APIs, or providers used by Verid in connection with the delivery of the Services, including but not limited to hosting providers, payment processors, and AI or data processing services.

“Generated Output” means any data, results, Reports, or other outputs produced by the Platform through automated or AI-assisted processing.

“Business Day(s)” means any day other than Saturday, Sunday, and public holidays in Italy.

“Applicable Law” means all laws, regulations, directives, and legal requirements applicable to the provision and use of the Services, including but not limited to data protection, consumer protection, and electronic commerce laws.

Interpretation Rules

Headings and section titles are included for convenience only and shall not affect the interpretation of these Terms.

The words “including”, “such as”, and similar expressions shall be interpreted as illustrative and shall not limit the scope of the preceding terms.

References to “written” or “in writing” include email and other electronic communications, unless explicitly stated otherwise.

Any reference to a legal or regulatory provision includes any amendment, replacement, or re-enactment of that provision.

In the event of ambiguity or dispute regarding interpretation, these Terms shall be interpreted in a manner consistent with their commercial purpose, namely the provision of automated analysis services on publicly accessible web content, with appropriate limitation of liability and allocation of risk.

1.2 Acceptance of terms

These Terms constitute a legally binding agreement between the User and Verid governing access to and use of the Platform and Services.

The User accepts and agrees to be bound by these Terms at the earliest of the following events:

(i) creating an Account on the Platform;
(ii) accessing or using any part of the Platform;
(iii) submitting a URL or any User Input for Analysis;
(iv) purchasing Credits or subscribing to a paid plan;
(v) otherwise interacting with the Services in any manner.

By accepting these Terms, the User represents and warrants that:

  • they have the legal capacity to enter into a binding agreement;

  • if acting on behalf of a company or other legal entity, they have the authority to bind that entity to these Terms;

  • they will use the Services in compliance with Applicable Law and these Terms.

If the User does not agree to these Terms, they must not access or use the Platform or Services.

These Terms apply to all use of the Platform unless a separate written agreement has been executed between the User and Verid. Any such agreement shall prevail only to the extent explicitly stated.

1.3 Eligibility and permitted use

The Services are intended for use by individuals and businesses seeking to analyze publicly accessible e-commerce web pages for informational and diagnostic purposes.

The User may access and use the Platform solely for lawful purposes and in accordance with these Terms.

The User must not:

  • use the Platform if they are prohibited from doing so under Applicable Law;

  • use the Services in any manner that violates laws or regulations relating to data access, intellectual property, or online conduct;

  • access or use the Platform for purposes that are fraudulent, abusive, or harmful to Verid, third parties, or the integrity of the internet.

Verid reserves the right to restrict or deny access to the Platform in any jurisdiction where the provision or use of the Services would be unlawful or would expose Verid to regulatory or legal risk.

Use of the Platform is permitted only for analyzing content that is publicly accessible at the time of submission. The User acknowledges that they are solely responsible for ensuring that their use of the Services, including the submission of URLs, complies with all applicable legal and contractual obligations.

Verid does not guarantee that the Services are appropriate, lawful, or available in all jurisdictions, and access to the Platform from certain locations may be restricted or prohibited.

2. Description of the service

2.1 Overview of the platform

Verid provides a software-as-a-service (SaaS) platform designed to analyze publicly accessible e-commerce product pages and generate structured insights regarding their perceived trust, credibility, and visual presentation.

The Platform enables Users to submit URLs of publicly available web pages, which are then processed through automated systems to extract relevant content, generate visual representations, and produce analytical Reports.

Verid operates as a self-service tool. Users independently initiate Analyses, access Generated Outputs, and manage their usage through the Platform interface without direct human intervention from Verid.

The Services are provided on an “as available” basis and may evolve over time as features are added, modified, or removed.

2.2 Scope of functionality

The Services may include, without limitation:

  • retrieval of publicly accessible web content associated with submitted URLs;

  • parsing and extraction of structured and unstructured data, including product information, images, and page elements;

  • generation of visual representations, including full-page or partial screenshots;

  • automated analysis of page structure, content quality, visual coherence, and other signals;

  • generation of Reports containing scores, identified issues, and suggested improvements;

  • storage and retrieval of Reports within the User’s Account.

The User acknowledges that the Platform performs automated processing based on available inputs and system capabilities. The exact features, analytical methods, and outputs may vary depending on the characteristics of the submitted URL, system updates, or technical constraints.

Verid does not guarantee that all elements of a given web page will be successfully retrieved, interpreted, or analyzed. Certain websites may restrict access, block automated systems, or present technical limitations that affect the completeness or accuracy of the Analysis.

2.3 Modifications to the service

Verid reserves the right, at its sole discretion, to modify, update, suspend, or discontinue any part of the Services at any time, with or without notice.

Such modifications may include, but are not limited to:

  • changes to features, functionalities, or analytical models;

  • updates to scoring methodologies or Report structures;

  • adjustments to system performance, processing methods, or infrastructure;

  • introduction of new features or removal of existing ones.

Verid shall not be liable for any modification, suspension, or discontinuation of the Services, provided that such changes are made in good faith and in the ordinary course of operating and improving the Platform.

Where changes materially affect paid features, subscription structures, or core functionality, Verid may provide reasonable notice through the Platform or via electronic communication.

Continued use of the Services following any modification constitutes acceptance of such changes.

3. Nature of the analysis and AI limitations

3.1 Nature and purpose of the analysis

Verid provides automated analysis of publicly accessible web pages for informational and diagnostic purposes. The Analysis is designed to identify potential issues related to perceived trust, credibility, and presentation quality of e-commerce product pages.

The User acknowledges that the Services do not evaluate the actual quality, safety, legality, or performance of any product, business, or website. The Analysis is limited to observable signals derived from publicly accessible content and does not constitute a comprehensive or definitive assessment.

Reports generated by the Platform are intended solely as general guidance to assist Users in identifying potential areas of improvement. They are not exhaustive and may omit relevant factors that could influence real-world outcomes.

3.2 AI-assisted and automated processing

The User acknowledges and agrees that the Platform relies on automated systems, including algorithmic and AI-assisted technologies, to perform Analyses and generate Reports.

Such systems may involve probabilistic models, pattern recognition, and heuristic evaluations that are inherently subject to variability, approximation, and non-deterministic behavior.

Verid is not required to disclose specific technical details regarding its models, methodologies, parameters, or internal processing logic. These elements constitute proprietary technology and trade know-how.

The User understands that different Analyses of the same or similar content may produce different results, and that outputs may evolve over time as the Platform is updated or improved.

3.3 No professional advice disclaimer

The Services and all Generated Outputs are provided for informational purposes only and do not constitute professional advice of any kind.

Without limitation, Verid does not provide:

  • legal advice;

  • financial or investment advice;

  • marketing, branding, or business consulting services;

  • regulatory or compliance guidance.

Any decisions made based on Reports or other outputs are made solely at the User’s own discretion and risk. The User is responsible for independently evaluating the suitability and accuracy of any information provided.

3.4 No guarantee of outcomes

The User acknowledges that the Platform does not guarantee any specific results, outcomes, or improvements.

Without limitation, Verid does not guarantee that:

  • implementing suggestions or recommendations will increase conversion rates, sales, or user trust;

  • identified issues are the actual cause of performance problems;

  • Reports are complete, accurate, or free from errors or omissions;

  • the absence of identified issues implies optimal performance or compliance.

The User further acknowledges that business outcomes depend on multiple external factors beyond the scope of the Services, including pricing, product quality, market conditions, branding, user experience, and marketing strategy.

Accordingly, Verid shall not be held responsible for any direct or indirect consequences arising from reliance on the Analysis or Generated Outputs.

4. User accounts and access

4.1 Account registration

To access certain features of the Platform, the User may be required to create an Account.

During registration, the User agrees to provide accurate, complete, and up-to-date information, including but not limited to email address and any other required credentials. The User is responsible for maintaining the accuracy of such information at all times.

Verid reserves the right to refuse registration, suspend, or terminate Accounts where provided information is false, incomplete, misleading, or in violation of these Terms.

The Account is personal to the User or the legal entity on whose behalf it is created and may not be transferred, sold, or assigned without prior written consent from Verid.

4.2 Account security

The User is solely responsible for maintaining the confidentiality and security of their Account credentials, including login details and any authentication mechanisms.

The User agrees to:

  • use strong and secure passwords;

  • prevent unauthorized access to their Account;

  • immediately notify Verid of any suspected or actual unauthorized use, breach, or security incident.

Verid shall not be liable for any loss, damage, or unauthorized activity resulting from the User’s failure to safeguard their Account credentials.

Any actions performed through the Account shall be deemed to have been performed by the User, whether authorized or not, unless proven otherwise under applicable law.

4.3 Account responsibility

The User is fully responsible for all activities conducted through their Account, including:

  • submission of URLs for Analysis;

  • use of Credits and subscription resources;

  • access to Reports and Generated Outputs;

  • any interactions with the Platform.

The User agrees to use the Account in compliance with these Terms and Applicable Law.

Verid reserves the right to monitor Account activity for security, fraud prevention, and compliance purposes, in accordance with applicable data protection laws.

Where Verid reasonably determines that an Account is being used in violation of these Terms, it may take appropriate action, including temporary suspension, restriction of access, or termination of the Account.

The User acknowledges that access to the Platform may be restricted or suspended if necessary to protect the integrity, security, or proper functioning of the Services.

5. User obligations and acceptable use

5.1 User responsibilities and representations

The User acknowledges that proper use of the Services requires compliance with these Terms and Applicable Law.

By using the Platform, the User represents and warrants that:

  • all User Input submitted is lawful and does not violate any third-party rights;

  • they have the legal right to submit any URL or data provided to the Platform;

  • their use of the Services does not infringe intellectual property, contractual obligations, or applicable regulations;

  • they will not use the Platform in a manner that could harm Verid, its infrastructure, or third parties.

The User further acknowledges that Verid does not verify the legality, ownership, or permissibility of submitted URLs or content and relies entirely on the User’s representations.

5.2 Acceptable use policy

The User agrees to use the Platform solely for its intended purpose, namely the analysis of publicly accessible web pages for informational and diagnostic use.

The User must not use the Services in any manner that:

  • violates any Applicable Law or regulation;

  • breaches website terms of service or access conditions of third-party websites;

  • interferes with, disrupts, or degrades the performance or integrity of the Platform;

  • imposes excessive or unreasonable load on Verid’s infrastructure;

  • attempts to bypass technical limitations, safeguards, or usage controls implemented by Verid.

Use of the Platform must remain reasonable, proportionate, and consistent with normal SaaS usage patterns.

5.3 Prohibited activities

Without limitation, the User shall not:

  • use automated scripts, bots, or bulk submission systems to generate excessive or abusive workloads;

  • attempt to reverse engineer, decompile, or otherwise extract source code, models, or internal logic of the Platform;

  • use the Platform to replicate, benchmark, or build competing services;

  • access or attempt to access non-public areas of the Platform or its infrastructure;

  • exploit the Services for data harvesting, scraping at scale, or systematic extraction of third-party content;

  • circumvent authentication, rate limits, or credit-based restrictions;

  • use the Platform for fraudulent, deceptive, or unlawful purposes;

  • attempt to identify vulnerabilities or conduct security testing without authorization.

Any use inconsistent with the intended purpose of the Platform shall be considered a violation of these Terms.

5.4 Submitted URLs and lawful use

The User agrees to submit only URLs that point to content that is publicly accessible at the time of submission.

The User must not submit:

  • URLs requiring authentication, login, or access credentials;

  • URLs containing personal, sensitive, or confidential data not intended for public access;

  • URLs that would cause the Platform to access systems or content in violation of applicable laws or contractual restrictions.

The User acknowledges that Verid does not control the content of third-party websites and is not responsible for the legality, accuracy, or nature of such content.

The User is solely responsible for ensuring that the submission and analysis of any URL complies with Applicable Law, including laws relating to data access, intellectual property, and website terms of use.

Verid disclaims any liability arising from the User’s submission of URLs that are unauthorized, restricted, or unlawful to access.

5.5 Enforcement and compliance

Verid reserves the right to monitor usage patterns and investigate suspected violations of this Section.

Where Verid reasonably determines that a User has violated these Terms, it may take appropriate action, including:

  • issuing warnings;

  • limiting or restricting access to certain features;

  • suspending or terminating the Account;

  • blocking specific URLs or usage patterns;

  • taking legal action where necessary.

Verid may take such actions without prior notice where required to protect the Platform, its infrastructure, or third parties.

The User acknowledges that enforcement decisions are made at Verid’s sole discretion, acting reasonably and in good faith.

6. Data handling and processing

6.1 Submitted data and public web content

The User acknowledges that the Platform processes User Input and retrieves Public Web Content in order to perform Analyses and generate Reports.

User Input is limited to data explicitly submitted by the User, including URLs and any associated parameters required for processing.

In connection with an Analysis, Verid may access, retrieve, and process Public Web Content available at the submitted URL at the time of request. Such content may include, without limitation, HTML, text, images, metadata, and page structure.

The User acknowledges and agrees that:

  • Verid acts solely as a technical processor of publicly accessible content;

  • Verid does not control, endorse, or verify the content of third-party websites;

  • any reliance on such content is at the User’s own risk.

Verid does not intentionally access restricted or non-public content and relies on the User to submit only lawful and publicly accessible URLs.

6.2 Data processing overview

Verid processes data solely for the purpose of providing the Services.

Such processing may include:

  • retrieving and parsing Public Web Content;

  • generating screenshots or visual representations;

  • analyzing content using automated and AI-assisted systems;

  • generating Reports and storing associated results;

  • maintaining system logs, usage metrics, and performance data.

Processing is performed using a combination of Verid’s infrastructure and Third-Party Services.

The User acknowledges that, in order to deliver the Services, certain data may be transmitted to and processed by third-party providers, which may be located outside the User’s jurisdiction, including outside the European Economic Area.

Verid takes commercially reasonable measures to ensure that such processing is conducted in accordance with applicable data protection requirements.

6.3 Data retention

Verid may retain User Input, Reports, and Generated Outputs for as long as necessary to provide the Services and maintain the functionality of the Platform.

Unless otherwise required by law or explicitly requested by the User (where applicable), data may be stored for an indefinite period, including for purposes such as:

  • enabling Users to access historical Reports;

  • improving system performance and reliability;

  • maintaining internal records and analytics;

  • ensuring continuity of service.

The User acknowledges that Verid is not obligated to retain data indefinitely and may delete or anonymize data at its discretion, subject to applicable legal requirements.

The User is responsible for maintaining their own copies of any Reports or Generated Outputs they wish to preserve.

6.4 Third-party processing

The User acknowledges that Verid relies on Third-Party Services to deliver certain functionalities of the Platform.

These may include, without limitation:

  • hosting and infrastructure providers;

  • payment processors;

  • AI and data processing services;

  • monitoring and analytics tools.

Such third parties may process data on behalf of Verid in accordance with their own terms and privacy policies.

Verid does not control the operations of third-party providers and shall not be liable for any acts, omissions, or failures attributable to such providers, to the extent permitted by Applicable Law.

Where required, Verid implements appropriate safeguards for international data transfers, including contractual protections or reliance on applicable legal frameworks.

7. Billing, credits, and payments

7.1 Subscription plans

Verid may offer access to the Services through subscription plans billed on a recurring basis.

Each Subscription plan may include a defined allocation of Credits, access to specific features, and usage limits, as described on the Platform at the time of purchase.

Subscriptions automatically renew at the end of each billing cycle unless cancelled prior to the renewal date.

The User is responsible for managing their Subscription, including cancellations, upgrades, or downgrades, through the Platform interface or any designated billing portal.

Changes to Subscription plans may take effect immediately or at the end of the current billing cycle, depending on the nature of the change and the billing configuration.

Verid reserves the right to modify Subscription pricing, features, or structures at any time. Such changes shall apply prospectively and, where materially relevant, reasonable notice may be provided.

7.2 Credits system

Access to certain functionalities of the Platform may require the use of Credits.

Credits may be:

  • included as part of a Subscription plan;

  • purchased separately as one-time credit packs.

Each Analysis consumes a specified number of Credits, as indicated on the Platform.

The User acknowledges that:

  • Credits are non-transferable and have no monetary value outside the Platform;

  • unused Credits may expire or reset at the end of a billing cycle, unless otherwise specified;

  • purchased Credits may be subject to expiration policies as communicated at the time of purchase.

Verid reserves the right to modify the number of Credits required for specific operations, provided that such changes do not retroactively affect already consumed Credits.

7.3 Payments, fees, and taxes

All payments for Subscriptions and Credit purchases must be made in advance through the payment methods made available on the Platform.

The User agrees to provide accurate billing information and to keep such information up to date.

All fees are stated exclusive of taxes unless otherwise specified. Where applicable, taxes (including VAT) will be added in accordance with Applicable Law.

The User is responsible for any additional costs associated with payments, including currency conversion fees, bank charges, or transaction fees imposed by payment providers.

Failure to complete payment may result in suspension or limitation of access to the Services.

7.4 Renewals and cancellations

Subscriptions renew automatically at the end of each billing cycle unless cancelled before the renewal date.

If the User cancels a Subscription:

  • access to paid features may continue until the end of the current billing period;

  • no further charges will be applied for subsequent billing cycles.

Downgrades may take effect at the end of the current billing cycle, while upgrades may take effect immediately, with prorated charges where applicable.

Verid does not provide partial refunds for unused Subscription periods unless required by Applicable Law.

7.5 Refunds and chargebacks

All payments are generally non-refundable once processed, except where required by Applicable Law.

The User agrees not to initiate chargebacks or payment disputes without first contacting Verid in good faith to seek resolution.

Initiating a chargeback after receiving access to the Services, Credits, or Generated Outputs may constitute a violation of these Terms.

In such cases, Verid reserves the right to:

  • suspend or terminate the User’s Account;

  • revoke access to the Services;

  • recover any outstanding amounts owed;

  • take appropriate legal action where necessary.

The User acknowledges that digital services and usage-based Credits are not returnable once delivered or consumed.

8. Intellectual property and usage rights

8.1 Ownership of the platform

All rights, title, and interest in and to the Platform, including its software, architecture, design, databases, algorithms, models, interfaces, documentation, and underlying technology, are and shall remain the exclusive property of Verid or its licensors.

This includes, without limitation:

  • proprietary analysis methodologies;

  • scoring systems and evaluation frameworks;

  • AI models, prompts, and processing pipelines;

  • internal tools, workflows, and infrastructure;

  • visual layouts, branding, and user interface elements.

Nothing in these Terms grants the User any ownership rights in the Platform or its underlying technology.

8.2 Ownership of reports

Subject to full payment of all applicable fees, the User retains rights to use the Reports and Generated Outputs produced through the Platform for their own internal or commercial purposes.

However, Verid retains all rights to:

  • the underlying systems, methodologies, and logic used to generate such outputs;

  • any aggregated, anonymized, or derived data generated through operation of the Platform;

  • improvements, enhancements, or modifications to the Services based on usage data.

The User acknowledges that Reports are generated through automated processes and may reflect proprietary structures, formats, and evaluation logic owned by Verid.

8.3 License to use the service

Verid grants the User a limited, non-exclusive, non-transferable, revocable license to access and use the Platform and Services in accordance with these Terms.

This license is granted solely for the User’s lawful business or personal use and does not include any rights to:

  • copy, modify, or create derivative works of the Platform;

  • distribute, sublicense, lease, or resell access to the Services;

  • access or use the Platform for the benefit of third parties as a service bureau or competing offering.

Any rights not expressly granted are reserved by Verid.

8.4 Restrictions on use

The User shall not:

  • use Reports or Generated Outputs to build, train, or improve any machine learning or AI systems;

  • reproduce, distribute, or commercialize Reports as standalone products or services;

  • extract or reuse substantial portions of the Platform’s outputs at scale for external purposes;

  • remove or obscure any proprietary notices or identifiers contained in the Platform or Reports.

Any use beyond the scope expressly permitted in these Terms requires prior written consent from Verid.

8.5 Feedback

If the User provides feedback, suggestions, or ideas regarding the Platform or Services (“Feedback”), the User grants Verid a worldwide, perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into the Platform without restriction or obligation.

Verid shall have no obligation to compensate the User for any Feedback and may use such Feedback for any purpose, including improving the Services or developing new features.

9. Service availability and changes

9.1 Availability and downtime

Verid aims to provide continuous access to the Platform; however, the Services are provided on an “as available” and “as is” basis, without any guarantee of uninterrupted or error-free operation.

The User acknowledges that availability may be affected by factors including, but not limited to:

  • scheduled maintenance or updates;

  • infrastructure issues or third-party service disruptions;

  • network failures or connectivity issues;

  • security incidents or mitigation measures;

  • technical limitations or system upgrades.

Verid reserves the right to temporarily suspend or restrict access to the Services for maintenance, security, or operational reasons, with or without prior notice.

Verid shall not be liable for any unavailability, interruption, or delay in access to the Platform.

9.2 Performance limitations

The User acknowledges that the performance of the Services may vary depending on multiple factors, including:

  • the characteristics and complexity of the submitted URL;

  • the responsiveness and structure of third-party websites;

  • system load and concurrent usage;

  • limitations of automated and AI-assisted processing systems.

Verid does not guarantee processing speed, response times, or completion times for Analyses.

In certain cases, Analyses may fail, be incomplete, or require retrying due to technical constraints beyond Verid’s control.

9.3 Updates and changes

Verid may release updates, improvements, or changes to the Platform on an ongoing basis.

Such updates may include:

  • enhancements to features or user experience;

  • modifications to analysis methodologies or scoring systems;

  • bug fixes or performance optimizations;

  • security updates or infrastructure changes.

The User acknowledges that updates may affect how the Services operate, including changes in output formats, scoring logic, or system behavior.

Verid is not obligated to maintain backward compatibility with previous versions of the Platform, unless otherwise explicitly stated.

Continued use of the Services following any update constitutes acceptance of such changes.

10. Disclaimers and liability

10.1 Disclaimer of warranties

To the fullest extent permitted by Applicable Law, the Platform and Services are provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, statutory, or otherwise.

Without limitation, Verid does not warrant that:

  • the Services will be uninterrupted, error-free, or secure;

  • the Platform will operate without delays, failures, or inaccuracies;

  • the Analysis or Reports will be complete, accurate, or reliable;

  • the Services will meet the User’s expectations or requirements;

  • any defects or errors will be corrected.

All implied warranties, including but not limited to merchantability, fitness for a particular purpose, and non-infringement, are expressly disclaimed to the maximum extent permitted by law.

10.2 Limitation of liability

To the fullest extent permitted by Applicable Law, Verid’s total aggregate liability arising out of or in connection with the Services or these Terms shall not exceed the total amount paid by the User to Verid in the twelve (12) months preceding the event giving rise to the claim.

Verid shall not be liable for any indirect, incidental, consequential, special, or punitive damages, including but not limited to:

  • loss of profits, revenue, or business opportunities;

  • loss of data or inability to access data;

  • reputational damage or loss of goodwill;

  • business interruption or operational disruption;

  • decisions made based on Reports or Generated Outputs.

This limitation applies regardless of the legal theory of liability, whether in contract, tort, negligence, or otherwise, even if Verid has been advised of the possibility of such damages.

10.3 No reliance

The User acknowledges that any reliance on the Services, Analysis, Reports, or Generated Outputs is at their sole risk.

The Platform provides automated insights that may be incomplete, approximate, or subject to error. The User is solely responsible for verifying any information before relying on it for business, financial, or operational decisions.

Verid shall not be responsible for any actions taken or not taken based on the use of the Services.

10.4 Indemnification

The User agrees to defend, indemnify, and hold harmless Verid, its operators, affiliates, partners, contractors, and service providers from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

  • the User’s use of the Services in violation of these Terms;

  • submission of URLs or data that violate Applicable Law or third-party rights;

  • misuse of Reports or Generated Outputs;

  • breach of any representation or warranty made by the User;

  • disputes between the User and any third party arising from use of the Services.

This indemnification obligation shall survive termination of the User’s access to the Platform.

11. Enforcement and termination

11.1 Suspension of access

Verid reserves the right to suspend or restrict access to the Platform, in whole or in part, at its sole discretion, where reasonably necessary to:

  • investigate suspected violations of these Terms;

  • prevent misuse, abuse, or unlawful activity;

  • protect the integrity, security, or performance of the Platform;

  • comply with Applicable Law or requests from competent authorities;

  • mitigate risks to Verid, its infrastructure, or third parties.

Suspension may be applied without prior notice where immediate action is required.

During suspension, the User may lose access to the Account, Reports, Credits, or other functionalities, and Verid shall not be liable for any resulting loss or inconvenience.

11.2 Termination

Verid may terminate or permanently disable a User’s Account at its sole discretion, where:

  • the User materially breaches these Terms;

  • the User engages in repeated or serious violations of acceptable use policies;

  • payment obligations are not fulfilled;

  • the User engages in fraudulent, abusive, or unlawful conduct;

  • continued provision of Services would expose Verid to legal or operational risk.

The User may terminate their use of the Services at any time by ceasing to use the Platform and, where applicable, cancelling any active Subscription.

Upon termination:

  • access to the Account and Services may be immediately revoked;

  • any remaining Credits may be forfeited, unless otherwise required by Applicable Law;

  • Verid may delete or anonymize User data in accordance with its data retention policies;

  • any outstanding payment obligations shall remain due and payable.

Termination does not affect provisions that by their nature are intended to survive, including but not limited to intellectual property, disclaimers, limitation of liability, and indemnification.

11.3 Abuse detection and enforcement

Verid reserves the right to monitor usage patterns, system interactions, and behavior associated with Accounts for the purpose of detecting abuse, fraud, or violations of these Terms.

Such monitoring may include automated and manual review of:

  • usage frequency and volume;

  • patterns indicative of automated or non-human activity;

  • attempts to bypass safeguards or technical limitations;

  • abnormal or suspicious behavior.

Where Verid determines, in good faith, that a User is engaging in abusive or non-compliant behavior, it may take enforcement actions including, but not limited to:

  • limiting or throttling access;

  • blocking specific activities or requests;

  • suspending or terminating the Account;

  • restricting access to certain features;

  • reporting unlawful activity to relevant authorities.

The User acknowledges that enforcement actions may be taken without prior notice where necessary to protect the Platform or third parties.

Verid shall not be liable for any consequences resulting from enforcement actions taken in accordance with these Terms.

12. Legal and miscellaneous

12.1 Governing law and jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Italy, without regard to conflict-of-law principles.

Any dispute arising out of or in connection with these Terms, the Platform, or the Services shall be subject to the exclusive jurisdiction of the competent courts in Italy, unless mandatory provisions of Applicable Law provide otherwise, particularly in the case of consumers.

12.2 Changes to these terms

Verid reserves the right to modify or update these Terms at any time.

Updated versions will be published on the Platform and will become effective upon publication, unless otherwise specified.

Where changes materially affect the User’s rights or obligations, Verid may provide reasonable notice through the Platform or via electronic communication.

Continued use of the Services after the effective date of updated Terms constitutes acceptance of such changes.

If the User does not agree to the updated Terms, they must discontinue use of the Platform.

12.3 Severability

If any provision of these Terms is found to be invalid, unlawful, or unenforceable, such provision shall be enforced to the maximum extent permitted by law, and the remaining provisions shall remain in full force and effect.

The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid and enforceable, while preserving its original intent as closely as possible.

12.4 Entire agreement

These Terms constitute the entire agreement between the User and Verid regarding the use of the Platform and Services and supersede all prior or contemporaneous agreements, communications, or understandings, whether written or oral.

No waiver of any provision of these Terms shall be deemed a further or continuing waiver of such provision or any other provision.
